Terms of Service

Welcome to ShipPrime ("ShipPrime", "we", "us", or "our"), a shipping aggregation platform operated by CityMall Private Limited. By accessing or using our platform at shipprime.live and its associated services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

1. Eligibility

You must be at least 18 years of age and have the legal authority to enter into contracts to use ShipPrime. By using our platform, you represent that you are a registered business entity in India and that all information you provide is accurate and current.

2. Services

ShipPrime provides a shipping aggregation platform that enables sellers to:

• Create and manage shipments across multiple courier partners
• Access real-time shipment tracking
• Manage cash-on-delivery (COD) remittances
• Handle non-delivery reports (NDR) and returns
• Access shipping analytics and performance data
• Integrate with e-commerce platforms (Shopify, WooCommerce, etc.)

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice.

3. Account Registration & Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at support@shipprime.live of any unauthorized use of your account. ShipPrime is not liable for any loss resulting from unauthorized access due to your failure to safeguard your credentials.

4. Wallet, Payments & COD Remittance

• Wallet Top-up: Shipping charges are deducted from your ShipPrime wallet. You must maintain a sufficient balance to process shipments.
• COD Remittance: COD collections are remitted within D+2 business days, subject to courier partner processing schedules and any applicable holds.
• Refunds: Shipping charges for undelivered or returned shipments may be credited back to your wallet per the refund policy in effect at the time of the shipment.
• Taxes: All charges are exclusive of applicable GST or other taxes unless explicitly stated.

5. Prohibited Uses

You agree not to use ShipPrime to ship:

• Prohibited or illegal goods under applicable Indian law
• Hazardous materials, explosives, or flammable substances
• Counterfeit or intellectual property-infringing products
• Live animals or perishable items (unless specifically enabled)
• Currency, bearer bonds, or negotiable instruments
• Any item that violates the terms of the carrier partners we work with

Violation of these restrictions may result in immediate account suspension and legal action.

6. Weight & Dimension Disputes

Courier partners may charge based on volumetric weight if it exceeds actual weight. Incorrect weight or dimension declarations may result in additional charges billed to your wallet. ShipPrime will facilitate dispute resolution with courier partners, but final decisions rest with the courier.

7. Liability & Disclaimer

ShipPrime acts as a platform intermediary between sellers and courier partners. We are not the carrier and do not take possession of shipments. Our liability is limited to:

• Facilitating dispute resolution with courier partners
• Refunding shipping charges (not shipment value) in cases of platform error on our part

ShipPrime is not liable for delays, damage, or loss caused by courier partners, natural disasters, government actions, or events beyond our reasonable control. The platform is provided "as is" without warranties of any kind.

8. Intellectual Property

All content, trademarks, logos, and technology on the ShipPrime platform are owned by or licensed to CityMall Private Limited. You may not copy, reproduce, or distribute any part of our platform without prior written consent.

9. Termination

Either party may terminate the account with 7 days' written notice. We reserve the right to suspend or terminate accounts immediately for violations of these Terms, fraudulent activity, or prolonged inactivity. Upon termination, any remaining wallet balance will be refunded after deducting any outstanding dues.

10. Governing Law & Disputes

These Terms are governed by the laws of India. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of courts in New Delhi, India. We encourage resolving disputes through our support team before initiating legal proceedings.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of ShipPrime after any changes constitutes acceptance of the revised Terms. We will notify users of material changes via email or platform notification.
